PRO Organization Terms
Effective September 24, 2026 · Techoclaro LLC
Draft pending attorney review. This text may change before it is final; we will post the new version here with a new effective date.
Extra terms for attorneys, legal aid offices, housing counselors and other organizations that use Techoclaro PRO to work on many homeowners’ cases. The client always decides who sees their case, and professional responsibility stays with the professional.
1. 1. About these PRO Terms
These PRO Organization Terms (the “PRO Terms”) apply when an organization uses Techoclaro PRO, offered by Techoclaro LLC (“Techoclaro,” “we,” “us”). They add to our Terms of Service, Privacy Policy and Acceptable Use Policy, which also apply. If the PRO Terms and the Terms of Service conflict about PRO, the PRO Terms control.
PRO is the professional side of the same workbench. It lets an organization work on many clients’ cases at once, with staff, roles, a case limit and reporting. Everything a homeowner can do on Techoclaro stays free and unchanged.
Attorneys and other professionals may also use Techoclaro for free like anyone else, one case at a time, without PRO.
2. 2. Words we use
- Organization: the law firm, solo practice, legal aid office, housing counseling agency, nonprofit, clinic or other entity that has a PRO account.
- Owner: the person who applied for PRO for the Organization. The Owner manages billing and is our main contact.
- Member: a person the Organization invites to its workspace, with a role such as admin, attorney, paralegal, counselor, volunteer or viewer. The Owner is also a Member.
- Client: a homeowner whose case is shared with the Organization.
- Client Matter: a Client’s case that the Client has agreed to share with the Organization.
- Package: the PRO plan the Organization subscribes to, which sets its number of open cases and seats.
3. 3. Applying, review and verification
To start PRO, a signed-in person fills in a short organization form and chooses a Package. The person who applies becomes the Owner.
- Your workspace opens right away when you subscribe, so you can explore it and set up your team once your Package gives you seats.
- You can add Clients only after we activate your Organization. We review every Organization after it applies.
- “Verified” means only that we reviewed your application. It does not mean Techoclaro endorses, recommends or vouches for your Organization, its staff or its services.
- Licenses are informational. You may list bar, NMLS, HUD agency or other license numbers. We store them for information only. We do not check them in real time and do not vouch for anyone’s standing. You remain responsible for your own licenses.
You agree that everything you tell us in your application is true and that you will keep it up to date — including your organization type, the states you serve, your nonprofit status and your license information.
4. 4. The Owner’s responsibilities
The Owner confirms that they have authority to accept these PRO Terms for the Organization. The Organization is responsible for everything its Members do in its workspace.
The Owner (and admins, where their role allows) must:
- invite only people who work or volunteer for the Organization and need access for their job;
- give each Member the narrowest role that fits their work, and remove Members promptly when they leave or no longer need access;
- make sure Members follow these PRO Terms, the Acceptable Use Policy and the Organization’s own professional and confidentiality duties;
- keep the billing contact and Organization details current; and
- tell us promptly at privacy@techoclaro.com if they believe a Member’s account or the workspace has been misused or accessed without permission.
Only the Owner can manage the Organization’s billing.
5. 5. Members, roles and seats
- Roles. Each Member has one role: owner, admin, attorney, paralegal, counselor, volunteer or viewer. The role decides what the Member can do — for example, who sees all of the Organization’s cases and who sees only assigned cases, who can add Clients, who can assign cases, who can see internal notes and who can export reports. The current role table is shown in the workspace.
- Access follows assignment. A Member who can see a case receives access to that case automatically, and loses it when the case is reassigned or closed, when the Member is removed, or when the Client revokes consent.
- Invitations. Member invitations use one-time codes that expire after 14 days.
- Seats. Your Package sets how many Members (active or invited) you may have. We enforce the limit. Removing a Member frees the seat.
- One person, one login. Each Member must use their own Techoclaro account. Members may not share accounts, sign-in links or codes.
6. 6. Professional responsibility stays with you
Techoclaro is a tool, not a law firm. PRO does not change that. Techoclaro does not give legal advice, does not practice law, does not supervise your work and is not co-counsel on any matter.
- Your judgment, your license. Any advice, representation or counseling your Organization gives a Client is yours. The licensed professionals in your Organization remain fully responsible for it under the rules that govern them (for example, state bar rules and HUD housing counseling requirements), including competence, supervision of non-lawyer staff and volunteers, conflicts of interest, confidentiality and fee rules.
- Check everything. Dates, findings, letters and AI output in Techoclaro are tools to help your work. Review them against the source documents and the law before you rely on them or give them to a Client, a court or anyone else.
- Stay within your authority. Non-lawyer Members (such as paralegals, counselors and volunteers) must not give legal advice or do anything their role or the law does not allow.
- No relationship between Techoclaro and your Clients. Your use of PRO does not create an attorney-client or other professional relationship between Techoclaro and any Client.
- Your own insurance and records. You are responsible for your own professional liability insurance and for keeping the records your professional rules require, outside of Techoclaro if needed.
7. 7. No outcome promises and honest fees
PRO is priced by open case slots and seats, never by result. No PRO fee depends on a loan modification, a dismissal, a delayed sale or a saved home.
When you use Techoclaro with Clients, you agree:
- not to promise or imply any result, and not to describe Techoclaro as guaranteeing, approving or predicting any outcome;
- not to present Techoclaro’s content as legal advice from Techoclaro, and to present our bankruptcy content as education only;
- not to charge Clients any fee that the law does not allow — including advance fees for mortgage assistance relief services barred by the FTC’s Mortgage Assistance Relief Services rule (Regulation O, 12 CFR part 1015), advance fees barred by the Credit Repair Organizations Act, or fees barred by state foreclosure-rescue laws — unless an exemption truly applies to you;
- not to charge Clients for access to Techoclaro itself, since the homeowner side is free; and
- to follow all laws that apply to your services.
The “outcome” you record when you close a case is for your own records and your funder reports. It is never used as marketing and never changes what anyone pays.
8. 8. Client consent comes first
Your Organization can see a Client’s case only after the Client consents. A Client Matter cannot exist in PRO without a recorded consent. There are three ways in:
- Invitation code: you send the homeowner a code; they sign in, redeem it and choose which case to share.
- Client’s own code: the homeowner creates a code for one case on their account page and gives it to you.
- Recorded consent: a Member creates the case on the Client’s behalf and records the consent — the method (written, electronic or verbal), the date, and the Member’s attestation that the Client agreed.
When you record consent, you promise that it is true: that the Client really agreed to share this case with your Organization, on the date and in the way you record. Keep your own evidence of that consent as your professional rules require. Recording false consent is a serious breach of these PRO Terms.
Email from your workspace to a Client is sent only when the Client has agreed to receive email (and has not withdrawn that agreement). You must get any other consent the law requires before contacting Clients by email, text or phone.
9. 9. The Client can revoke at any time
A Client can revoke consent at any time from their own account page, without asking you or us.
When a Client revokes, the share closes immediately: your Organization and every Member lose access to that case at once, and the case no longer counts toward your case limit. We record the revocation in an audit log.
The Client’s case stays in the Client’s own account. Revoking in Techoclaro does not end any separate engagement you have with the Client outside Techoclaro; it only ends your access through PRO. What you do with information you already copied outside Techoclaro is governed by your own professional duties and your agreement with the Client.
To move a Client from one organization to another, the Client revokes the first share and shares again with the new organization.
10. 10. Confidentiality
Your duties. You must keep Client information confidential, use it only to serve that Client, and protect it as your professional rules and the law require. Do not use Client information for marketing, lead generation, or any purpose the Client did not agree to.
Staff notes. Internal notes on a Client Matter are kept on your Organization’s record and shown only to Members whose role allows it. They are never shown to the Client in Techoclaro. Write them professionally anyway: they may still be subject to legal requests, such as a subpoena.
Our duties. We keep your Organization’s non-public information confidential and use it only to provide the Service, as described in our Privacy Policy. Techoclaro personnel access Organization or Client data only when needed for support you request, security, legal compliance, or to investigate a possible breach of our terms.
Legal requests. If we receive a subpoena or other legal demand for your Organization’s data, we will tell you before we respond when the law allows, so you can object.
11. 11. Who is responsible for which data
- The Client’s case belongs to the Client. Papers, findings, dates and letters in a Client’s case are the Client’s, in the Client’s account. We handle them under our Privacy Policy and the Client’s choices. Your Organization gets access only while the Client’s consent lasts.
- Your Organization’s own records. For the information your Organization adds for its own work — internal notes, assignments, priorities, outcomes, calendar entries, staff messages, and information about your Members — we process it on your behalf to provide PRO, and you are responsible for having the right to give it to us and for how you use it.
- What you take out of Techoclaro (for example, downloaded letters or reports) is your responsibility under the laws and professional rules that apply to you.
We use service providers (for hosting, email, AI and similar services) as described in our Privacy Policy, and we require them to protect the data.
[Attorney to decide: whether to offer a separate data processing addendum (DPA) or business associate terms for organizations that need them.]
12. 12. Funder reports and workspace tools
- Funder reports show counts by state, county and outcome for a date range. They contain no names, addresses or case identifiers, and you can turn on small-cell suppression (for example, showing “<5”). You are responsible for the accuracy of the outcomes you record and for how you share reports.
- Email tools. If email is not connected, a message is saved as a draft and not sent; the workspace never shows a message as “sent” unless it was. You are responsible for the content of messages your Members send and for following laws that apply to them.
- Calendar feeds use a private link. Treat it like a password; anyone with the link can see the events in it. You can replace the link at any time.
- Audit records. Every share, acceptance, revocation, assignment, case closing and member change is recorded in an audit log that cannot be edited. These records do not contain the content of a Client’s papers.
13. 13. Packages and limits
Each Package sets a limit on open cases (cases that are not closed) and on seats. The current list prices are:
- PRO 5 — 5 open cases, 2 seats — $199.99 per month
- PRO 10 — 10 open cases, 3 seats — $349.99 per month
- PRO 25 — 25 open cases, 5 seats — $749.99 per month
- PRO 50 — 50 open cases, 10 seats — $1,299.99 per month
- PRO Unlimited — unlimited open cases, 25 seats — $1,999.99 per month
Current Packages and prices are always shown on the PRO page and may change as described in section 14.
- Case limit. You cannot add a Client when you are at your limit. Closing a case frees its slot.
- If your Package lapses or ends, your Organization has no case slots and one seat (the Owner). Existing cases stay readable, but you cannot add new Clients until you subscribe again.
- Need more? To move to a larger Package, subscribe to it from the PRO page or contact us at privacy@techoclaro.com.
14. 14. Billing, renewal and the nonprofit discount
- Monthly subscription. Packages are billed monthly, at the start of each period, by card through Stripe’s secure checkout. They renew automatically every month until the Owner cancels. Annual prices shown on the PRO page are for reference only and are not sold online.
- Cancelling. The Owner can change or cancel the Package from the Billing page at any time. A cancelled Package stays active until the end of the period already paid for and then does not renew.
- Nonprofit discount. Nonprofits and legal aid organizations can ask for a nonprofit discount (usually 50%). We decide eligibility and may ask for proof, such as an IRS determination letter. The discounted price is always shown next to the list price and applied at checkout. We may end the discount, with 30 days’ notice, if the Organization is no longer eligible.
- Free and granted access. We may also give a Package through a promo code or a nonprofit grant. When that access ends, nothing is charged unless the Owner subscribes.
- Price changes. We will give the Owner at least 30 days’ notice by email before a new price applies to the Organization’s Package.
- Taxes are added where the law requires them.
- Refunds follow our Refund Policy. [Owner to confirm: the refund rule for PRO Packages.]
- Failed payments. If a payment fails and is not fixed, the Package may lapse (see section 13).
15. 15. Acceptable use for organizations
Our Acceptable Use Policy applies to every Member. In addition, your Organization must not:
- add a homeowner’s case without their real consent, or keep using a case after consent is revoked;
- use PRO to find, contact or sign up homeowners for services they did not ask for, or to sell or share homeowner information;
- use Techoclaro to run a foreclosure-rescue, loan-modification or credit-repair business that takes illegal advance fees or makes false promises;
- try to see cases, notes or data outside what your role and your Clients’ consent allow; or
- resell or sublicense PRO access to people outside your Organization.
16. 16. Review and suspension
We may review an Organization at any time, including after activation. We may ask for more information and may suspend an Organization if we reasonably believe that:
- information in the application is false or out of date in a way that matters;
- the Organization or a Member broke these PRO Terms, the Terms of Service or the Acceptable Use Policy (for example, false consent, outcome promises or illegal fees);
- a Client or a regulator has raised a credible complaint;
- payment is seriously overdue; or
- suspension is needed to protect homeowners, the Service or to comply with the law.
What suspension means: every Member loses access to every Client Matter right away, and the Organization cannot add Clients. Clients keep full access to their own cases. When we can, and when it is safe and lawful, we will tell the Owner why and give the Organization a chance to respond. If we reactivate the Organization, access to Client Matters whose consent is still in place is restored.
17. 17. Ending PRO and getting your data
- The Owner can end PRO by cancelling the Package. After the paid period ends, the Organization lapses (see section 13).
- We can end PRO for an Organization with 30 days’ notice for any reason, or right away for a serious breach of these PRO Terms. If we end it without cause, we refund any prepaid amount for the unused time.
- Before PRO ends, download what you need to keep: funder reports (JSON or CSV), letters and documents, and your own notes. Your professional rules may require you to keep your own client records outside Techoclaro.
- Export help. For 30 days after PRO ends, the Owner can ask us at privacy@techoclaro.com for a copy of the Organization’s own records (such as internal notes, assignments and outcomes) that the Organization cannot download itself. We will provide it in a common electronic format. [Owner to confirm: a self-service organization-wide export is not yet built; confirm the 30-day manual export commitment.]
- Client cases stay with the Clients. When PRO ends, the Organization’s access ends, but each Client keeps their case in their own account.
- After that, we may delete the Organization’s own records as described in our Data Retention policy. Audit records are kept, as that policy explains.
18. 18. Responsibility and liability
The disclaimers and limits of liability in the Terms of Service apply to PRO. For an Organization, our total liability for all claims about PRO is limited to the amounts the Organization paid us for PRO in the 12 months before the event that caused the claim, except where the law does not allow such a limit.
The Organization agrees to cover Techoclaro’s reasonable losses and costs (including reasonable attorney’s fees) from any claim by a Client or anyone else arising from: the advice, representation or services the Organization provides; consent the Organization recorded that was not true; the Organization’s use of Client information; or the Organization’s breach of these PRO Terms or the law.
19. 19. Changes and contact
We may update these PRO Terms. We will tell the Owner by email at least 30 days before an important change takes effect, unless a faster change is required by law or needed to protect homeowners. If the Organization does not agree, the Owner may cancel before the change takes effect.
Disputes about PRO are handled as described in the “If we have a disagreement” section of the Terms of Service.
